The assumed public offering price is only a placeholder and DOES NOT mean the price that the offering will be completed at. The official pricing will be announced in a final prospectus and press release.

The assumed offering price in an ATM 424B5 agreement will also be a placeholder and not the price any new shares will be issued at. The price an ATM is sold at will be variable throughout the day at it is sold on the open market intraday
